| I&H brings special expertise to transactional work because we are also litigators who represent parties when there is a default under a lease, a contract, or a mortgage. Many transactional document drafters, without the benefit of this experience, spend a lot of time working on clauses without a clear conception as to how such clauses can be enforced. They assume their work will be self-effectuating; it is not. The draftsperson should conduct his or her self as if every clause will at some time be violated. After all, we live in a very litigious environment in which at some time or another a party to a deal is going to test the limits of what has been written, either because of market forces, because a business is going bad, or just because they like to test. I&H handles: purchases and sales of commercial and residential real property and cooperatives, including multi-million dollar deals; commercial leasing, for both landlords and tenants; and private lending transactions. |

I&H represented a client who was attempting to make a million dollar, private loan to a person in bankruptcy, and take back a mortgage on the debtor's only asset, a 24,000 square foot, tenanted commercial building in the Red Hook section of Brooklyn. This required some very sophisticated work with the bankruptcy trustee. The debtor ended up going with another private lender. When that deal fell through with other lender, however, the putative borrower became embroiled in a private bidding war before the bankruptcy judge, and the I&H client ultimately prevailed and bought a great building for a reasonable price. I&H represented the client at closing. |

The I&H client ultimately worked out a partnership with the mortgagee, in exchange for delivering them the deed. |
